Terms & Conditions

1. Introduction

These Terms & Conditions form a binding agreement between Bsharp Sales Enablers Private Limited (the “Provider”, “we”, “us”), a company registered in Bangalore, India, with its principal place of business at 783, Ranka Heights, Patel Rama Reddy Layout, Domlur, Bangalore 560071, and the individual or entity (the “Customer”, “you”) that registers for or uses Learnbee, a product of Bsharp.

Learnbee is an AI-assisted, software-as-a-service (SaaS) platform for authoring, narrating, translating, publishing, and exporting training courses. By registering for, accessing, or using Learnbee, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Scope of Services

Subject to these Terms, we grant you access to Learnbee and its features, which may include AI-assisted course generation, narration and text-to-speech, course translation, an image and media library, a hosted course player, and SCORM export. Specific features and any usage limits applicable to your plan will be described at sign-up, in your quotation, or on our website.

We aim to keep the Service available at all times, except during scheduled maintenance or events beyond our reasonable control. We may apply reasonable rate limits to AI features or APIs to maintain stability for all users.

3. Accounts & Customer Responsibilities

You agree to use the Service responsibly and for lawful business purposes only. You shall not:

  • reverse-engineer, decompile, copy, resell, or sublicense any part of the platform;
  • upload malware or attempt to disrupt, probe, or gain unauthorized access to the Service;
  • use the Service to create or distribute unlawful, infringing, or harmful content;
  • misrepresent your identity or use another person’s account without authorization.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account, and for ensuring that anyone you authorize to use the Service complies with these Terms. You must comply with all applicable laws, including India’s Information Technology Act, 2000, and any data-protection regulations applicable to you.

4. Fees and Payment

Where the Service is offered on a paid basis, you agree to pay the fees for your selected plan. Pricing and billing terms will be presented at checkout or in your quotation or invoice. Unless stated otherwise, fees are exclusive of applicable taxes (such as GST or VAT), which you are responsible for. We may suspend access for overdue payments and may revise pricing at the end of a subscription term with prior notice.

5. Intellectual Property

The Learnbee platform — including all software, AI models and prompts, algorithms, designs, and infrastructure — is and remains the exclusive property of the Provider. We grant you a non-exclusive, non-transferable, time-limited license to use the Service for your internal business needs. This license may not be sold, transferred, or sublicensed.

Your content

You retain ownership of all content, documents, media, and data you upload to or create with the Service, including course content generated with the help of the platform’s AI features (“Customer Content”). You are responsible for ensuring your Customer Content does not infringe third-party rights or violate applicable law. You grant us a limited license to host, process, and transmit your Customer Content solely to provide and improve the Service, including sending the necessary content to our AI sub-processors to perform requested operations (see our Privacy Policy).

Feedback

If you submit feedback or suggestions, we may use them to improve the Service without obligation or compensation to you.

Third-party services

The Service integrates with third-party providers (for example, authentication, AI, text-to-speech, stock imagery, and hosting providers). We are not responsible for the availability, security, or performance of third-party services.

6. Published & Exported Courses

When you publish a course, you generate a public share link, and you are responsible for the content you make publicly available. When you export a course (for example, as a SCORM package), you are responsible for how and where it is distributed and for compliance with the policies of any learning management system or platform on which you host it.

7. Security and Compliance

We take reasonable precautions to protect Customer data and platform integrity, including encryption in transit, access controls, and monitoring. You are responsible for securing your own credentials and for managing access within your organization. While we follow industry practices, we cannot guarantee absolute protection and are not liable for damages caused by cyberattacks, third-party vulnerabilities, or Customer negligence. Please report suspected security issues to us promptly.

8. Marketing and Publicity

8.1 Identifying organisations that use Learnbee. If you register or use an account with a work email address, or otherwise identify an organisation as your employer or as the organisation on whose behalf you use the Services, you agree that we may identify that organisation as one whose users use Learnbee, and may display its name and logo for that purpose in our marketing materials, including our website, sales presentations and social media.

8.2 What such a reference means. Any reference under clause 8.1 is a factual statement that one or more individual users from that organisation have created accounts and used the Services. It is not, and will not be presented as, a statement that the organisation is a customer of Learnbee, or that it endorses, sponsors, partners with or approves Learnbee. Where we display such logos we will say so on the same page.

8.3 Trademarks. All organisation names, logos and marks referenced under clause 8.1 remain the property of their respective owners. We claim no rights in them, will reproduce them without alteration and at a reasonable size, and will use them only while the relevant account is active.

8.4 Removal on request. If you, or any authorised representative of the organisation concerned, would prefer that its name or logo not be used, write to us at legal@learnbee.ai. No reason is required. We will remove the reference from materials under our control within 15 business days, and will use reasonable efforts to remove it from third-party materials as soon as practicable.

8.5 Case studies, testimonials and customer claims. Case studies, testimonials, quotes, usage figures, and any statement that an organisation is a customer or client of Learnbee will be published only with the prior written consent of an authorised representative of that organisation, which may be withdrawn at any time by written request.

8.6 Your account, your organisation’s rules. You confirm that using the Services in connection with your organisation’s identity is not prohibited by that organisation’s policies, and that you will notify us if that changes.

9. Termination and Suspension

You may stop using the Service and request account closure at any time. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, for non-payment, for unlawful or disruptive activity, or as required by law. Provisions that by their nature should survive termination — including those on intellectual property, confidentiality, liability, and indemnity — will survive.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. AI features may produce output that is inaccurate, incomplete, or unsuitable for a given purpose; you are responsible for reviewing and verifying any AI-generated content before relying on or distributing it. To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms.

11. Liability and Indemnification

To the maximum extent permitted by law, the Provider’s total liability for any claims arising out of or relating to the Service is limited to the fees you paid for the Service in the three (3) months preceding the claim (or, for free use, is limited to INR 1,000). We are not liable for indirect, incidental, or consequential damages, including loss of profits or data. You agree to indemnify and hold the Provider harmless from claims arising out of your misuse of the Service, your violation of law, or your Customer Content.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute that cannot be resolved amicably will be settled through arbitration under the Arbitration and Conciliation Act, 1996, seated in Bangalore, India, conducted in English. Subject to arbitration, the courts of Bangalore, India, will have exclusive jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
